Report ESPI 18/2021

The Management Board of Berg Holding S.A. with its registered office in Katowice [Company, Issuer] informs that a interdependent company of Farmy Fotowoltaiki S.A. i.e. Columbus&Farmy Sp. z o.o. [C&F] in which Farmy Fotowoltaiki S.A. holds 50% of shares, concluded a number of photovoltaic projects purchase agreement under which C&F agreed with the Seller on detailed therms and conditions of purchase of the following projects:

  1. the Niemstów project, located in Podkarpackie voivodeship, involving the development of a photovoltaic farm with a capacity od 1 MW on a plot of land with an area of 1.97 ha,
  2. the Opaka 1 and Opaka 2 projects, both located in Podkarpackie voivodeship, involving the development of two photovoltaic farms with a total capacity of 2 MW on a plot of land with an area of 4,78 ha,
  3. the Tymce 1 and Tymce 2 projects, both located in Podkarpackie voivodeship, involving the development of two photovoltaic farms with a total capacity of 2 MW on a plot of land with an area of 4,84 ha.

Pursuant to the concluded agreements, the parties agreed that the Seller will transfer the ownership of the aforementioned projects to C&F as soon as a set of decisions concerning the environmental conditions of the investment, development conditions and a construction permit becomes legally binding.

At the same time C&F reserved the right to withdraw from the aforementioned agreements within one year of their conclusion if the Seller contraty to the declaration fails to transfer the rights, obligations and documents as well as if the Seller fails to remove potential legal defects related to the aformentioned projekcts.

In the opinion of the Issuer’s Management Board, the information about signing the agreements is confidential due to the fact that its implementation will have a significant impact on the financial revenues of the Issuer’s Capital Group.
