CONCLUSION BY THE ISSUER’S SUBSIDIARY NETSU S.A. AGREEMENT FOR DISTRIBUTION OF HEAT PUMPS BERG HOLDING S.A.

The Management Board of Berg Holding SA with its seat in Katowice [Company, Issuer] hereby informs that the Issuer’s subsidiary – NETSU SA has entered into an agreement with CCHP Energia Sp. z o.o. Sp.K. with its registered seat in Ostrzeszów Wielkopolski [Buyer], a heat pump distribution agreement specifying general terms and conditions of cooperation [Distribution Agreement].

The Buyer from the date of conclusion of this agreement until its termination will act as a Distributor of heat pumps, tanks and buffers under the trade name NETSU. At the same time the Buyer declared to purchase at least one hundred heat pump units in 2021. Under the concluded agreement, either party may terminate the Distribution Agreement with six months’ notice. The other terms and conditions of the Distribution Agreement do not differ from those generally applied in agreements of this type.

In the opinion of the Issuer’s Management Board, the information about the conclusion of the Distribution Agreement is confidential information due to the fact that its execution will have a significant impact on the financial revenues of the Issuer’s Capital Group.
