ESTABLISHMENT OF AN AFFILIATED COMPANY FROM THE ISSUER – HUS SPÓŁKA AKCYJNA BERG HOLDING S.A.

The Management Board of Berg Holding S.A., with its registered seat in Katowice [Company, Issuer] hereby informs that the Issuer and two natural persons, one of whom, i.e. Mr Łukasz Rosiński is the Member of the Supervisory Board of the Issuer [Founders] have established a joint stock company under the name: HUS Spółka Akcyjna with its registered seat in Katowice [Target Company].

The initial capital of the SPV amounts to PLN 100,000.00 and is divided into 1,000,000 ordinary registered shares of A series. The Issuer took up 111.100 registered shares of A series in the initial capital, constituting 11,11% of the total number of votes at the general meeting of the SPV. Due to the Issuer’s share in the initial capital and share in votes at the general meeting, the SPV is an affiliate of the Issuer. The scope of activity of the newly established SPV includes e.g., sale of houses using the framework technology in Central and Eastern Europe, co-investment with investors in projects of multi-family houses using the framework technology, research and development in the field of the framework construction and cooperation with the Issuer in the field of distribution of heat pumps, photovoltaic installations and energy storage facilities. The Issuer’s engagement within the SPV is related to the implementation of the Issuer’s strategy for 2020-2022, the implementation of which was announced by the Issuer in the current report ESPI no. 64/2020.
